Terms of Service

These Terms are a template. Before offering the service commercially, have them reviewed by a lawyer and replace every to be completed with the operator's own details.

Article 1 (Application)

These Terms set out the conditions for using “OWOW” (the “Service”), a matching service provided by operator name (the “Company”). Anyone who registers (a “User”) uses the Service on the basis that they agree to these Terms.

Article 2 (Eligibility)

The Service is available only to people aged 18 or over. A year of birth is required at registration, and registration is refused where the applicant is found to be under 18.
Where a User is found after registration to be under 18, the Company may suspend the account and delete the registration without prior notice.
Users shall keep their registered information accurate and up to date.

Article 3 (What the Service is)

The Service provides a place for guests and casts to agree the date and terms of a meetup (sitting together for conversation, a meal and the like, in person). The Company is not present at the meetup and does not guarantee any agreement between the parties as to what the meetup itself involves.

Article 4 (Points)

Prices within the Service are shown in points. Points are granted on purchase and expire after to be completed.
When a request is sent, points equal to that request are held (deducted from the balance).
Where the meetup does not go ahead — including where the cast declines, where the response deadline passes, and where the User cancels — the held points are returned in full.
Once the meetup is completed, the held points are definitively spent.
Points may constitute a prepaid payment instrument under the Payment Services Act. Points are not refundable for cash except where required by law.

Article 5 (Payment to casts)

On completion of a meetup, to be completed of the price of that meetup is credited to the cast's balance. For gifts, the full amount is credited to the cast's balance. The remainder is the Company's service fee. A cast may request a withdrawal up to the amount of their balance.

Article 6 (Prohibited conduct)

Users shall not:

act in breach of law or public order and morals;
solicit, provide, or imply the provision of sexual services;
solicit loans of money, or engage in pyramid selling, religious activity or other solicitation;
threaten, stalk, use discriminatory language toward, or otherwise harass the other party;
use information about another User learned through the Service for any other purpose, or disclose it to a third party;
transact directly outside the Service, or propose doing so to another User;
register false information, impersonate another person, or improperly use multiple accounts;
interfere with the operation of the Service, gain unauthorised access, or make bulk automated requests.

Article 7 (Measures for breach)

Where the Company judges that a User has breached these Terms, it may without prior notice delete posts, restrict functionality, suspend the account or delete the registration. The Company is not liable for loss arising to the User in that case.

Article 8 (Reporting)

A User who believes that another User's conduct breaches these Terms may report it to the Company through the in-app reporting function. The Company will review the report and take the measures in the preceding Article where necessary.

Article 9 (Disclaimer)

Disputes arising between Users are to be resolved between those parties, and the Company does not, as a rule, become involved.
The Company is not liable for interruption, suspension or change to the Service, or for loss arising to a User from it, except where caused by the Company's intent or gross negligence.
Where the Company's exclusion of liability is not permitted under the Consumer Contract Act or other mandatory law, the Company's liability is capped at the amount the User paid to the Company in the twelve months preceding the loss.

Article 10 (Changes to these Terms)

The Company may change these Terms where it judges this necessary. Where the change is material, it will be notified in advance within the Service or by other appropriate means.

Article 11 (Governing law and jurisdiction)

These Terms are governed by the law of Japan. Any dispute concerning the Service shall be subject to the exclusive jurisdiction of the to be completed District Court in the first instance.
